Welcome to the website of the Open Grid Alliance. (“OGA”) OGA is a vendor-neutral alliance of organizations focused on clearly defining and building out an Open Grid, the natural integration of hardware, software, networking and infrastructure technologies necessary to support the next generation of applications. Its founders plan to explore in good faith whether to organize the OGA as a new, standalone organization or as an autonomous or semi-autonomous project under an existing organization. As used herein, “we”, “us” or the like refers to the OGA and its founders or members contributing to this website.
These Terms of Use, together with OGA’s Privacy Policy and any other documents referred to herein, (collectively “Terms”) are expressly incorporated and describe the obligations and conditions that govern your use of opengridalliance.org and any other websites or applications made available by the OGA from time to time (collectively, the “Websites”), including any content, downloads, functionality, products and services offered to visitors or registered users on or through the Websites. 1. General
1.1 By choosing to use the Websites, you are agreeing to abide by all conditions of these Terms as well as all applicable laws.
1.2 We may change, add or remove portions of these Terms at any time, which shall become effective immediately upon posting. It is your responsibility to review these Terms prior to each use of any of the Websites and by continuing to use the Websites, you agree to any changes.
1.3 In addition to these Terms, your use of certain parts of the Websites is subject to our Privacy Policy and may also be subject to additional terms and conditions, such as your service agreement with us. If there is any inconsistency between these Terms and any additional terms, then the additional terms will control to the extent of such inconsistency. We will treat information you provide as part of registration in accordance with our Privacy Policy. You should take care in maintaining the confidentiality of your password.
2. Content on the Websites and in Publications
2.1 All materials published on the Websites including, but not limited to, news articles, photographs, images, illustrations, audio clips and video clips (“Content”) are protected by copyright, and owned or controlled by the OGA or the party credited as the provider of the Content. The compilation of the Content on the Websites is owned by Us. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Websites.
2.2 We grant you a limited license to to access and use the Websites for personal, non-commercial viewing. You may download or copy Content and other downloadable items displayed on the Websites for personal, non-commercial use only, provided that you maintain all copyright and other notices contained therein.
2.3 Any names, trademarks, logos and service marks displayed on the Websites are the property of the OGA or the party credited and may not be used without the prior written consent of the respective owner. All other names, brands and marks are used for identification purposes only and are the property of their respective owners. No licenses or other rights in or to such names, logos and/or trademarks are granted.
3. User-generated content, comments, and submissions
3.1 You are solely responsible for the content of your submissions to the Websites. You shall not upload to, distribute or otherwise publish to the Websites, any libelous, defamatory, obscene, pornographic, abusive, infringing or otherwise illegal material.
You agree that you will not threaten or verbally abuse any users of the Websites, use defamatory language, or deliberately disrupt discussions with repetitive messages, meaningless messages or “spam.”
You agree not to use language that abuses or discriminates based on race, religion, nationality, gender, sexual preference, age, region, disability, etc. Hate speech of any kind is grounds for immediate and permanent suspension of access to all or part of the Websites.
3.2 Without the express approval of an OGA administrator, you may not distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services through the Websites.
3.3 You acknowledge that any submissions you make to the Websites (i.e., user-generated content including but not limited to: comments, forum messages, reviews, text, video, audio and photographs, as well as computer code and applications) may be edited, removed, modified, published, transmitted and displayed by OGA adminstrators and you waive any rights you may have in having the material altered or changed in a manner not agreeable to you.
3.4 You grant to all OGA members a perpetual, nonexclusive, world-wide, royalty free, sub-licensable license to any Content you submit to the Websites, which includes without limitation, the right for the OGA, its members, affiliates, successors, assigns or any third party it so designates, to use, copy, transmit, excerpt, publish, distribute, publicly display, publicly perform, create derivative works of, host, index, cache, tag, encode, modify and adapt (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies) in any form or media now known or hereinafter developed, any submission posted by you on or to the Websites.
4. Use of the Websites; registration and security
4.1 In order to access certain other areas of the Websites, you may be asked to provide certain registration details or other information and additional terms and conditions may apply. You may not access parts of the Websites to which you are not authorized.
4.2 The Websites may contain links to other related World Wide Web Internet sites, resources, and advertisers. We are not responsible for the availability of these outside resources, or their contents and you should direct any concerns regarding any external link to such sites.
4.3 The Websites are not intended for Children. You must be 13 years or older to request information or to be contacted by a representative of the OGA. For more information please read our Privacy Policy.
5. Representations and Warranties; Disclaimer; Limitation on Liability
5.1 No OGA founder or member represents or endorses the accuracy or reliability of any material, statement, opinion or other information displayed, uploaded, or distributed through the Websites by any other founder or member, third party, user, information provider or other person or entity except for itself. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at your sole risk. The material and information contained in the Websites is not intended to be advice. You may not rely on this information and should always seek independent advice before making any business decision. THE WEBSITES ARE DISTRIBUTED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU HEREBY ACKNOWLEDGE THAT USE OF THE WEBSITES IS AT YOUR SOLE RISK.
5.2 Any liability for statutory or implied conditions or warranties, which cannot be excluded, is limited to the maximum extent allowable under applicable law. To the extent permitted by applicable law, no OGA founder or member is liable (whether caused by negligence or other tort, breach of contract, under any statute or otherwise) for any loss, damage or expense (including special, indirect, consequential loss, loss of profit or revenue, loss of goodwill, loss of data or business interruption) (collectively, “Loss”) arising out of or in connection with your use, or inability to use, the Websites, any websites linked from the Websites or any Content on the Websites. You indemnify each OGA founder against all incurred Loss arising directly or indirectly out of your use of the Websites or your breach of these Terms.
